These Terms of Service (“Terms”) govern your use of ResponseOps automation infrastructure and related services (the “Service”).

By engaging ResponseOps, you agree to these Terms.

1. Description of Service

ResponseOps provides managed automation infrastructure designed to improve lead response speed for service businesses.

The Service may include:

  • Automated email responses
  • SMS communications
  • Lead logging
  • Workflow configuration
  • Monitoring and maintenance

ResponseOps does not provide CRM services, marketing services, or sales representation.

The Service operates as backend infrastructure and does not include a client-facing software dashboard unless otherwise agreed.

2. Client Responsibilities

You are responsible for:

  • Providing accurate business information
  • Ensuring your website forms contain proper disclosures
  • Obtaining valid customer consent for SMS communications
  • Complying with all applicable messaging and telecommunications laws

ResponseOps is not responsible for improper opt-in collection or regulatory violations resulting from client configuration or website practices.

3. Messaging Compliance

If SMS functionality is enabled:

  • You must obtain clear and documented opt-in consent
  • End users must be able to opt out by replying STOP
  • Messaging must comply with A2P 10DLC and carrier requirements

ResponseOps reserves the right to suspend messaging if compliance issues arise.

4. Fees & Payment

Services are provided on a subscription basis.

Fees may include:

  • One-time setup fees
  • Monthly infrastructure and monitoring fees

All fees are non-refundable unless otherwise agreed in writing.

Failure to pay may result in suspension or termination.

5. No Guarantee of Business Outcomes

ResponseOps is designed to reduce response time to customer inquiries.

We do not guarantee:

  • Increased revenue
  • Increased bookings
  • Conversion rate improvements

Business outcomes depend on market conditions and internal processes.

6. Third-Party Services

The Service relies on third-party providers including:

  • Email providers
  • SMS carriers
  • Cloud hosting platforms

ResponseOps is not liable for downtime, delivery failure, or service interruptions caused by third-party providers.

7. Limitation of Liability

To the maximum extent permitted by law, ResponseOps shall not be liable for:

  • Indirect or consequential damages
  • Loss of revenue or missed opportunities
  • Regulatory penalties resulting from client non-compliance

Total liability shall not exceed fees paid during the previous three (3) months.

8. Termination

You may cancel with written notice.

ResponseOps may suspend or terminate service for:

  • Non-payment
  • Regulatory non-compliance
  • Misuse of messaging systems

Upon termination, active automation workflows may be disabled.

9. Data Handling

Client data is processed solely to deliver automation functionality.

ResponseOps does not sell or rent customer data.

Data handling practices are described in our Privacy Policy.

10. Modifications

ResponseOps may update these Terms periodically.

Continued use of the Service constitutes acceptance of updates.

11. Governing Law

These Terms are governed by the laws of the State of Colorado.
